Terms of Service

Agreement

These Terms of Service ("Terms") govern your use of the Probed apps (desktop, web, and mobile), the probed.chat website, and any related services (collectively, the "Services") provided by Ginyu LLC ("Ginyu", "we", "us", or "our"). By creating an account or using the Services, you agree to these Terms. If you don't agree, don't use the Services.

Who Can Use Probed

You must be at least 13 years old to use Probed. If you're using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Your Account

• You're responsible for keeping your account credentials secure and for everything that happens under your account.
• Provide accurate information when you sign up, and keep it up to date.
• Don't share your account with others or let anyone else sign in as you.

Your Content

Probed lets you create spaces, channels, and messages, and invite others to join. We refer to anything you post or upload as "Your Content."

• You own Your Content. We don't claim ownership.
• You grant us a license to operate the Services. By posting Your Content, you grant Ginyu a worldwide, non-exclusive license to host, store, transmit, display, and process it solely so we can deliver the Services to you and the people you've invited. This license ends when you delete the content or your account (subject to backups and legal retention).
• You're responsible for Your Content. You confirm you have the rights to post it and that it doesn't violate the law or anyone else's rights.

Acceptable Use

You agree not to:

• Use the Services for anything illegal, abusive, harassing, or harmful to others
• Post content that infringes someone else's rights
• Send spam, malware, or unsolicited bulk messages
• Attempt to break, reverse-engineer, or interfere with the Services or the systems they run on
• Use the Services to build a competing product or to scrape data at scale
• Impersonate Ginyu, its employees, or another user
• Circumvent any access controls, rate limits, or plan limits

We may suspend or terminate accounts that violate these rules, with or without notice depending on the severity.

Plans, Billing, and Refunds

• Probed offers free and paid plans. Current pricing, tiers, and limits are shown in the app and on our site.
• Paid plans renew automatically until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
• Payments are processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis.
• Fees are non-refundable except where required by law. If we change pricing, we'll give you reasonable notice before the new pricing takes effect for your account.

Service Availability

We work hard to keep Probed running, but we don't guarantee uninterrupted access. The Services may be unavailable from time to time for maintenance, upgrades, or reasons outside our control.

Third-Party Services

Probed relies on third-party services to operate, and lets you connect optional integrations to your space. Your use of those services through Probed is also subject to their own terms, and we're not responsible for the availability or behavior of third-party services. The providers that process personal data on our behalf are described in our Privacy Policy.

Termination

You can stop using the Services at any time and delete your account from settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if continued service would create a risk to us or other users. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive (including ownership, disclaimers, limitation of liability, and dispute resolution).

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or secure, or that any data will be preserved without loss.

Limitation of Liability

To the fullest extent permitted by law, Ginyu and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from or related to your use of the Services. Our total liability for any claim related to the Services will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US$100.

Indemnification

You agree to indemnify and hold harmless Ginyu from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, or your violation of these Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll do our best to notify you in the app or by email before they take effect. Continued use of the Services after changes take effect means you accept the updated Terms.
